What was signed

Penske Automotive Group announced October 15 that it entered a definitive merger agreement with Motown Acquisition Corp., an entity owned by Penske Corporation and Mitsui & Co. Shareholders outside the investor group would receive $212 per share in cash, and the company values the transaction at about $16.3 billion on an enterprise-value basis.

The agreement advances a July proposal into a signed transaction, but it is not complete. Penske Automotive expects closing in the first quarter of 2027, subject to regulatory approvals, approval by the required shareholder vote and approval by a majority of votes cast by unaffiliated shareholders. The agreement is not subject to a financing condition.

Why it matters to trucking

Penske Automotive describes itself as a major automotive and commercial-truck retailer and one of North America's largest Freightliner retailers. It also owns 28.9% of Penske Transportation Solutions, which manages trucks, tractors and trailers under lease, rental or maintenance contracts and operates transportation and supply-chain businesses.

If the transaction closes, Penske Corporation would hold about 64% of Penske Automotive and Mitsui about 36%, and Penske Automotive shares would stop trading on the New York Stock Exchange. Those ownership and listing changes do not by themselves establish an operational change at a dealership, leasing location or fleet.

What drivers and fleets should know

The announcement did not identify dealership closures, layoffs, driver-pay changes, route changes or immediate changes to leasing, maintenance or logistics services. Drivers, technicians and customers should continue using their normal employer or service contacts unless the company announces a specific operational change.

The $16.3 billion figure includes debt and is not the cash amount being paid solely for the remaining public shares. The proposed closing date can change if approvals or other closing conditions take longer than expected.
